Terms and Conditions

These Terms and Conditions (“Terms”) govern the use of the Vocalli.ai (“the Platform”), operated by DigiMedix Technology Solutions Inc. (“the Company”, “we”, “our”, or “us”).

By registering, accessing, or using the Platform, you (“the User”, “you”, or “your”) agree to be legally bound by these Terms. If you do not agree, you must not use the Platform.

 

  1. Overview

Vocalli.ai is an AI-powered medical scribe and transcription platform designed for healthcare professionals and clinics.
The Platform provides automated transcription, note-generation, and related productivity tools to assist with clinical documentation.

Use of the Platform is subject to these Terms, our Privacy Policy, and all applicable laws and regulations, including PIPEDAprovincial privacy acts (PHIPA, HIA, etc.), and HIPAA where applicable.

 

  1. Eligibility

The Platform is intended for licensed healthcare professionals, clinics, and their authorized administrative staff.
By using the Platform, you confirm that:

  • You are at least 18 years old;
  • You have the legal authority to enter into this agreement;
  • You are using the Platform for professional or business purposes related to healthcare delivery or administration.

 

  1. User Responsibilities

You are responsible for:

  • Obtaining and documenting patient consent before recording or submitting any identifiable health information to the Platform;
  • Ensuring compliance with all applicable privacy and healthcare laws in your jurisdiction;
  • Securing your account credentials and preventing unauthorized access;
  • Reviewing and validating any transcription or generated output before use in clinical records.

The Company is not liable for inaccurate transcriptions, improper use of generated notes, or non-compliance with patient consent requirements.

 

  1. Plans and Pricing

The Platform offers three subscription options:

  1. Free Forever Plan
  • Includes up to 15 transcripts per year at no cost.
  • Intended for evaluation and limited professional use.
  • May include access to standard features and limited AI processing.
  • The Company reserves the right to modify, limit, or terminate Free plan usage at any time.
  1. Pro Plan
  • Offered as a monthly or annual subscription.
  • Provides enhanced features, higher usage limits, and priority processing.
  • Subscription fees are automatically billed according to the selected plan cycle.
  1. Enterprise Plan
  • Customizable based on volume, integration, and compliance requirements.
  • Subject to a separate written agreement outlining specific pricing, SLA, and data arrangements.

 

  1. Billing and Payments
  • valid credit card is required during registration to ensure account verification and eligibility for plan upgrades.
  • However, no charges will be made to your card until you switch from one plan to another or activate a paid plan.
  • All fees are quoted in Canadian dollars (CAD) unless otherwise specified.
  • Subscription fees are non-refundable, except where required by law.
  • The Company reserves the right to adjust pricing with 30 days’ advance notice.

Missed or declined payments may result in suspension or termination of access until the issue is resolved.

 

  1. Data Storage and Security

Data is securely stored in Canada or the United States, depending on the user’s country selection at registration.
All data is encrypted in transit and at rest, with multi-factor authentication (MFA) enforced for user accounts.

Users acknowledge that while we implement industry-leading security measures, no system is completely risk-free, and the Company cannot guarantee absolute protection against all threats.

 

  1. Third-Party Integrations

The Platform may use third-party service providers for:

  • Speech recognition, AI processing, and data analytics;
  • Secure hosting, storage, and payment processing.

All such providers are contractually bound to maintain HIPAA and PIPEDA compliance standards.
The Company is not responsible for interruptions, data incidents, or issues arising from third-party systems or client-side actions.

 

  1. Intellectual Property

All intellectual property rights in the Platform—including design, software code, AI models, branding, and content—are owned exclusively by DigiMedix Technology Solutions Inc.
Users are granted a limited, non-transferable, non-exclusive license to use the Platform for their professional purposes.
You may not copy, modify, distribute, reverse engineer, or resell the Platform or its components.

 

  1. Limitation of Liability

To the fullest extent permitted by law:

  • The Company shall not be liable for any direct, indirect, incidental, consequential, or punitive damages resulting from use or inability to use the Platform.
  • The Company does not warrant the accuracy or completeness of any AI-generated transcription or summary.
  • You agree that all use of the Platform is at your own risk and subject to professional discretion.

If liability is established by law, it will be limited to the fees paid by the user in the preceding 12 months.

 

  1. Termination

Either party may terminate this agreement at any time.

  • Paid users may cancel subscriptions from their account settings or by contacting support.
  • The Company may suspend or terminate accounts for:
    • Breach of these Terms;
    • Inappropriate or unlawful use; or
    • Non-payment or abuse of the Free Plan.

Upon termination, user access and stored data may be permanently deleted after a retention grace period, in accordance with our Privacy Policy.

 

  1. Renewal and Modifications

Paid subscriptions automatically renew at the end of each billing cycle unless cancelled.
We may update these Terms periodically to reflect operational or regulatory changes. Continued use of the Platform constitutes acceptance of such updates.

 

  1. Governing Law

These Terms are governed by the laws of Ontario, Canada, without regard to its conflict of law principles.
Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
