If you do not agree, you must not use the Platform.<\/p><p>\u00a0<\/p><ol><li><strong>Overview<\/strong><\/li><\/ol><p><strong>Vocalli.ai<\/strong>\u00a0is an AI-powered medical scribe and transcription platform designed for healthcare professionals and clinics.<br \/>The Platform provides automated transcription, note-generation, and related productivity tools to assist with clinical documentation.<\/p><p>Use of the Platform is subject to these Terms, our\u00a0<strong>Privacy Policy<\/strong>, and all applicable laws and regulations, including\u00a0<strong>PIPEDA<\/strong>,\u00a0<strong>provincial privacy acts (PHIPA, HIA, etc.)<\/strong>, and\u00a0<strong>HIPAA<\/strong>\u00a0where applicable.<\/p><p>\u00a0<\/p><ol start=\"2\"><li><strong>Eligibility<\/strong><\/li><\/ol><p>The Platform is intended for licensed healthcare professionals, clinics, and their authorized administrative staff.<br \/>By using the Platform, you confirm that:<\/p><ul><li>You are at least 18 years old;<\/li><li>You have the legal authority to enter into this agreement;<\/li><li>You are using the Platform for professional or business purposes related to healthcare delivery or administration.<\/li><\/ul><p>\u00a0<\/p><ol start=\"3\"><li><strong>User Responsibilities<\/strong><\/li><\/ol><p>You are responsible for:<\/p><ul><li>Obtaining and documenting\u00a0<strong>patient consent<\/strong>\u00a0before recording or submitting any identifiable health information to the Platform;<\/li><li>Ensuring compliance with all applicable privacy and healthcare laws in your jurisdiction;<\/li><li>Securing your account credentials and preventing unauthorized access;<\/li><li>Reviewing and validating any transcription or generated output before use in clinical records.<\/li><\/ul><p>The Company is\u00a0<strong>not liable<\/strong>\u00a0for inaccurate transcriptions, improper use of generated notes, or non-compliance with patient consent requirements.<\/p><p>\u00a0<\/p><ol start=\"4\"><li><strong>Plans and Pricing<\/strong><\/li><\/ol><p>The Platform offers three subscription options:<\/p><ol><li><strong>Free Forever Plan<\/strong><\/li><\/ol><ul><li>Includes\u00a0<strong>up to 15 transcripts per year<\/strong>\u00a0at no cost.<\/li><li>Intended for evaluation and limited professional use.<\/li><li>May include access to standard features and limited AI processing.<\/li><li>The Company reserves the right to modify, limit, or terminate Free plan usage at any time.<\/li><\/ul><ol><li><strong>Pro Plan<\/strong><\/li><\/ol><ul><li>Offered as a\u00a0<strong>monthly<\/strong>\u00a0or\u00a0<strong>annual<\/strong>\u00a0<wbr \/>subscription.<\/li><li>Provides enhanced features, higher usage limits, and priority processing.<\/li><li>Subscription fees are automatically billed according to the selected plan cycle.<\/li><\/ul><ol><li><strong>Enterprise Plan<\/strong><\/li><\/ol><ul><li>Customizable based on volume, integration, and compliance requirements.<\/li><li>Subject to a separate written agreement outlining specific pricing, SLA, and data arrangements.<\/li><\/ul><p>\u00a0<\/p><ol start=\"5\"><li><strong>Billing and Payments<\/strong><\/li><\/ol><ul><li>A\u00a0<strong>valid credit card<\/strong>\u00a0is required during registration to ensure account verification and eligibility for plan upgrades.<\/li><li>However,\u00a0<strong>no charges<\/strong>\u00a0will be made to your card until you\u00a0<strong>switch from one plan to another<\/strong>\u00a0or\u00a0<strong>activate a paid plan<\/strong>.<\/li><li>All fees are quoted in\u00a0<strong>Canadian dollars (CAD)<\/strong>\u00a0unless otherwise specified.<\/li><li>Subscription fees are\u00a0<strong>non-refundable<\/strong>, except where required by law.<\/li><li>The Company reserves the right to adjust pricing with\u00a0<strong>30 days\u2019 advance notice<\/strong>.<\/li><\/ul><p>Missed or declined payments may result in suspension or termination of access until the issue is resolved.<\/p><p>\u00a0<\/p><ol start=\"6\"><li><strong>Data Storage and Security<\/strong><\/li><\/ol><p>Data is securely stored in\u00a0<strong>Canada<\/strong>\u00a0or the\u00a0<strong>United States<\/strong>, depending on the user\u2019s country selection at registration.<br \/>All data is encrypted in transit and at rest, with\u00a0<strong>multi-factor authentication (MFA)<\/strong>\u00a0enforced for user accounts.<\/p><p>Users acknowledge that while we implement industry-leading security measures,\u00a0<strong>no system is completely risk-free<\/strong>, and the Company cannot guarantee absolute protection against all threats.<\/p><p>\u00a0<\/p><ol start=\"7\"><li><strong>Third-Party Integrations<\/strong><\/li><\/ol><p>The Platform may use third-party service providers for:<\/p><ul><li>Speech recognition, AI processing, and data analytics;<\/li><li>Secure hosting, storage, and payment processing.<\/li><\/ul><p>All such providers are contractually bound to maintain\u00a0<strong>HIPAA<\/strong>\u00a0and\u00a0<strong>PIPEDA<\/strong>\u00a0<wbr \/>compliance standards.<br \/>The Company is\u00a0<strong>not responsible<\/strong>\u00a0for interruptions, data incidents, or issues arising from third-party systems or client-side actions.<\/p><p>\u00a0<\/p><ol start=\"8\"><li><strong>Intellectual Property<\/strong><\/li><\/ol><p>All intellectual property rights in the Platform\u2014including design, software code, AI models, branding, and content\u2014are owned exclusively by\u00a0<strong>DigiMedix Technology Solutions Inc.<\/strong><br \/>Users are granted a\u00a0<strong>limited, non-transferable, non-exclusive license<\/strong>\u00a0to use the Platform for their professional purposes.<br \/>You may not copy, modify, distribute, reverse engineer, or resell the Platform or its components.<\/p><p>\u00a0<\/p><ol start=\"9\"><li><strong>Limitation of Liability<\/strong><\/li><\/ol><p>To the fullest extent permitted by law:<\/p><ul><li>The Company shall\u00a0<strong>not be liable<\/strong>\u00a0for any direct, indirect, incidental, consequential, or punitive damages resulting from use or inability to use the Platform.<\/li><li>The Company does\u00a0<strong>not warrant<\/strong>\u00a0the accuracy or completeness of any AI-generated transcription or summary.<\/li><li>You agree that all use of the Platform is\u00a0<strong>at your own risk<\/strong>\u00a0and subject to professional discretion.<\/li><\/ul><p>If liability is established by law, it will be limited to the\u00a0<strong>fees paid by the user in the preceding 12 months<\/strong>.<\/p><p>\u00a0<\/p><ol start=\"10\"><li><strong>Termination<\/strong><\/li><\/ol><p>Either party may terminate this agreement at any time.<\/p><ul><li>Paid users may cancel subscriptions from their account settings or by contacting support.<\/li><li>The Company may suspend or terminate accounts for:<ul><li>Breach of these Terms;<\/li><li>Inappropriate or unlawful use; or<\/li><li>Non-payment or abuse of the Free Plan.<\/li><\/ul><\/li><\/ul><p>Upon termination, user access and stored data may be permanently deleted after a retention grace period, in accordance with our Privacy Policy.<\/p><p>\u00a0<\/p><ol start=\"11\"><li><strong>Renewal and Modifications<\/strong><\/li><\/ol><p>Paid subscriptions\u00a0<strong>automatically renew<\/strong>\u00a0at the end of each billing cycle unless cancelled.<br \/>We may update these Terms periodically to reflect operational or regulatory changes.
