Nxtscaleup Agency: Terms & Conditions
1. Acceptance of Terms:
By engaging Nxtscaleup (“Agency”) for marketing services, you (“Client”) agree to be bound by these Terms and Conditions. These Terms and Conditions constitute the entire agreement between the Agency and the Client.
2. Services:
The Agency will provide marketing services as outlined in the agreed-upon proposal or service agreement (“Agreement”). These services may include, but are not limited to:
- Social media management
- Search engine optimization (SEO)
- Media buying/Pay-per-click (PPC) advertising
- Email marketing Content creation
- App Marketing
- Market research
- Brand strategy
- Marketing consulting
- Digital Transformation
- Customer Relationship Management
- Marketing attribution
3. Client Obligations:
The Client agrees to:
- Provide timely and accurate information and materials necessary for the Agency to perform the services.
- Respond promptly to requests for feedback and approvals.
- Adhere to agreed-upon deadlines and schedules.
- Provide access to necessary systems and platforms as required.
- Pay all invoices according to the agreed-upon payment schedule.
4. Agency Obligations:
The Agency agrees to:
- Perform the services with reasonable skill and care.
- Maintain confidentiality of Client information.
- Provide regular updates and reports as agreed upon.
- Adhere to agreed-upon deadlines and schedules.
- Use best practices and industry knowledge to provide the services.
5. Payment Terms:
All prices quoted are exclusive of applicable taxes.
Payment terms will be outlined in the Agreement.
Invoices are due within 14 days of the invoice date.
Late payments may incur a 10% late fee.
The Agency reserves the right to suspend services for overdue payments.
6. Intellectual Property:
- The Client retains ownership of all pre-existing intellectual property.
- The Agency retains ownership of all intellectual property created during the provision of services, until full payment has been received, at which point ownership is transferred to the Client, or as otherwise specified in the agreement.
- The agency retains the right to use any work created, within a portfolio, or for self promotional materials.
7. Confidentiality:
- Both parties agree to maintain the confidentiality of all sensitive information shared during the provision of services.
- This obligation extends beyond the termination of the Agreement.
8. Termination:
- Either party may terminate the Agreement with 30days written notice.
- The Agency may terminate the Agreement immediately for breach of these Terms and Conditions or non-payment.
- Upon termination, the client is responsible for paying all outstanding invoices for services rendered.
9. Limitation of Liability:
- The Agency’s liability is limited to the fees paid by the Client for the services provided.
- The Agency is not liable for indirect, incidental, or consequential damages.
10. Indemnification:
- The Client agrees to indemnify and hold the Agency harmless from any claims or damages arising from the Client’s breach of these Terms and Conditions or misuse of the services.
11. Governing Law:
- This Agreement shall be governed by and construed in accordance with the laws of UAE.
12. Amendments:
- These Terms and Conditions may be amended by the Agency with written notice to the Client.
13. Force Majeure:
- Neither party shall be liable for any failure or delay in performing its obligations under this Agreement due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, or government regulations.
14. Dispute Resolution:
- Any disputes arising from this Agreement shall be resolved through good faith negotiations. If negotiations fail, the dispute shall be resolved through [Mediation/Arbitration/Litigation] in UAE.
15. Severability:
- If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Client Acknowledgment:
